MEMORANDUM of UNDERSTANDING

BETWEEN

ONE HOPE UNITED (Party A) and [NAME OF RESTAURANT] (Party B)

1. Purpose
This MOU identifies the roles and responsibilities of each party as they relate to GO BLUE 4 OHU restaurant promotion throughout the month of April. This MOU is intended to outline the roles of each party and to establish the responsibility of each party for key deliverables.

2. Scope
Party A shall undertake the following activities:

• • · Market the promotion via OHU’s website, Go Blue microsite and social media channels, including the #GOBLUE4OHU contest on Instagram;
  • · Provide materials for marketing the promotion on-site as mutually agreed (menu inserts, flyers);
  • · Include restaurant name/logo in our monthly eblast and at Hope In Action (May 3, 2019); and
  • · Inclusion in street marketing campaign during the month of April.

Party B shall undertake the following activities:

• • · Provide names and detailed descriptions of menu items and/or beverages (“Featured Items”) for which proceeds from sales shall be donated throughout the month of April to One Hope United in writing by March 15, 2019;
  • · Indicate in writing to One Hope United the percentage of proceeds from Featured Items to be donated;
  • · Notify One Hope United in writing by March 15, 2019 of any blackout dates or times during which Featured Items will be unavailable or during which proceeds from sales of such Featured Items will not be donated to One Hope United;
  • · Offer Featured Items to the public throughout the month of April;
  • · Display requested menus or flyers publicizing Go Blue participation and/or Featured Items throughout the month of April; and
  • · Donate the stated percentage of proceeds received from sales of the Featured Items to One Hope United. All donations must be received no later than June 1, 2019.

3. Terms
It is mutually understood and agreed by and between the parties that:

• · This MOU can be modified by mutual written agreement of both parties at any time.
  · This MOU can be terminated by either party with 30-day advance written notice to the other party.

4. Payment
There will be no payment exchanged for this promotion.

5. Effective Dates
This MOU shall be in effect upon the signature of Party A’s and Party B’s authorized agents. It shall be in force until April 30, 2019.

Parties A and B indicate agreement with this MOU by their signatures.
